Agreement

This User Agreement (hereinafter the “Agreement”) governs the relationship between Erfis LLC (hereinafter the “Company”), a limited liability company duly organized and existing under the laws of the Russian Federation, with its registered address at: 13-687 Butlerova St., Saint Petersburg, 195256, Russia, and any individual user (hereinafter the “User”) who visits or otherwise makes use of the website located at https://erfis.ru (hereinafter the “Website”).

By using the Website in any manner, the User confirms acceptance of this Agreement, joins it as a party, and undertakes the corresponding obligations and risks.



1. General Provisions

1.1. The Company is the owner of the Website and administrator of the domain name https://erfis.ru. Under this Agreement, the Company provides access to the Website, and the User agrees to use it properly in accordance with the established terms.

1.2. The primary purpose of the Website is to provide information about the Company’s activities to a wide audience of Users and to facilitate interaction between the Users and the Company through web forms (“Feedback Forms”) and email newsletters. Information on the Website may be updated without prior notice.

1.3. The Website does not constitute a public offer for the provision of legal, patent, or other services by the Company.

1.4. The information posted on the Website does not constitute legal, financial, tax, audit, or other professional advice and is provided solely for informational purposes. The Company bears no responsibility for any use of such information by the User. Before making any decisions based on the information found on the Website, the User is advised to consult a relevant specialist of the Company.

1.5. The Website may contain references to the Company’s affiliates and business partners. While the Company endeavors to ensure the accuracy of such information, Users are encouraged to verify it directly with the relevant parties using the contact details provided on the Website.

1.6. The Company reserves the right to unilaterally amend the terms of this Agreement at any time without specific notice to the User. The current version of the Agreement is always available on the Website, and the User is responsible for periodically reviewing its terms.



2. Intellectual Property Rights

2.1. The Company holds exclusive rights or licensed rights to use the Website as a whole and all results of intellectual activity posted thereon. These include, without limitation, texts, photographs, diagrams, graphics, software (including source and object code), video and audio materials, copyrighted works, databases, trademarks and service marks, and the layout, structure, design (including visual appearance, color palette, structure, and fonts) of the Website (collectively, the “Content”).

2.2. The User must respect the Company’s intellectual property rights to the Content and refrain from any actions that directly or indirectly infringe or may lead to the infringement of such rights by third parties.



3. Use of the Website

3.1. The Company grants the User a non-exclusive, royalty-free license to use the Content worldwide in the following ways:

  • Access and view the Content via a browser during an online session;

  • Save pages or fragments of the Website to electronic media (e.g., hard drive or flash drive) or print them on paper for use in accordance with the primary purpose of the Website (Section 1.2), subject to the following limitations:

(i) Copies or printed pages must not be distributed or reproduced without justified necessity;
(ii) Intellectual property notices and copyright statements must not be removed, altered, or obscured;
(iii) Pages or fragments must not be saved or printed if they contain a prohibition notice or are protected by technical safeguards;
(iv) Content must not be modified or supplemented;

  • Quote the Content for legitimate purposes with mandatory attribution and a hyperlink to the Website.

3.2. The User may not sublicense the rights set forth in Section 3.1.

3.3. These rights are granted subject to the User's full compliance with this Agreement. If the User violates any provision, the license automatically terminates without notice.

3.4. The Company reserves the right to restrict or deny access to the Website for specific Users or groups of Users at its sole discretion and without explanation.

3.5. The User is prohibited from:

  • Using another user’s credentials or impersonating another person;

  • Republishing or distributing Content in print or broadcast without prior written consent;

  • Accessing settings not intended for general or unauthorized Users;

  • Using the Content in any way not expressly permitted in Section 3.1, including but not limited to modifying, decompiling, or incorporating it into derivative works;

  • Creating phishing or look-alike sites;

  • Encouraging others to commit such acts;

  • Using web bots, except for official search engine crawlers;

  • Misusing Feedback Forms, including sending malware, advertising, spam, or fraudulent messages;

  • Monitoring other Users or attempting to identify them;

  • Performing acts in violation of applicable Russian or local law;

  • Altering or accessing Website source code;

  • Bypassing the navigation system or interfering with the Website’s operation;

  • Bypassing antivirus, firewalls, or other protections;

  • Searching for or exploiting Website vulnerabilities;

  • Any other actions prohibited by this Agreement.



4. Feedback Forms

4.1. The Website contains Feedback Forms for submitting job applications, subscribing to informational and marketing communications, contacting Company employees, and sending other messages (“Messages”).

4.2. Some Feedback Forms include a field to specify the organization represented by the User. If completed, the User is deemed an authorized representative of the named organization. Otherwise, Messages are deemed sent personally, and the Company is not obliged to respond.

4.3. Messages that do not correspond to the purpose of the relevant Feedback Form or lack sufficient detail for professional consultation may be deleted without review.

4.4. Messages addressed to specific employees may be accessible to other staff (e.g., assistants, administrative personnel). Users should avoid submitting personal or confidential content not intended for disclosure.

4.5. Feedback Forms are not intended for the transmission of legally protected confidential information (e.g., attorney-client privilege, banking secrecy, etc.).

4.6. Clients, contractors, and other counterparties must not use Feedback Forms for correspondence related to contractual matters with the Company.



5. Newsletters

5.1. The Website provides access to informational and marketing newsletters. The Company is the owner of all information disseminated via such newsletters. Contact details are listed in this Agreement.

5.2. Users may change subscription preferences or unsubscribe at any time via relevant sections of the Website. The Company may cancel or deny subscriptions without cause but may not unilaterally alter newsletter topics.

5.3. Users may not subscribe using email addresses not belonging to them.



6. External Links

6.1. The Website may contain links to third-party websites. While the Company endeavors to exclude links to unreliable or fraudulent sites, it bears no responsibility for third-party content or operations, including any harm caused to Users on such websites.



7. No Warranties

7.1. Access to the Website is provided on an “as is” basis. The Company makes no warranties regarding the Website or its Content, including that:

  • The Website is error-free, continuously available, or fully compatible with the User’s devices;

  • The Website or its pages will be continuously accessible;

  • The Website contains complete, accurate, and error-free information about the Company or any related legal, news, or analytical content;

  •  Printed or saved pages will match their online appearance;

  • The Website does not contain prohibited or restricted content in the User’s jurisdiction;

  • The Website is free of content that may be offensive or inappropriate.

7.2. Users must use their own protection measures (e.g., antivirus, firewalls). The Company makes reasonable efforts to safeguard the Website but does not guarantee it is immune to harmful third-party activity.

8. Limitation of Liability

8.1. The Company is not liable for any breach of this Agreement or for User losses arising from use of the Website, except in cases of the Company’s intentional misconduct. The Company is not liable for other damages not caused through its own fault.

8.2. The User shall be fully liable for breaches of this Agreement and the Company’s intellectual property rights under applicable laws (see Section 10), as well as the laws of the User’s country if violated.

9. Confidentiality

9.1. User personal data is confidential and processed in accordance with the Company’s Personal Data Processing Policy.

9.2. Messages sent via Feedback Forms are confidential and will not be disclosed, except when:

Disclosure is requested in writing by the User;

Disclosure is required by law, court order, or government authority (Section 10);

Access is granted to Company contractors providing Website support, under a confidentiality agreement;

The Messages contain information about actual or alleged criminal or unlawful conduct.

10. Governing Law and Dispute Resolution

10.1. This Agreement and all related relationships shall be governed by the laws of the Russian Federation.

10.2. All disputes arising from or in connection with this Agreement or use of the Website shall be subject to the exclusive jurisdiction of the courts located at the Company’s place of registration.
