What does a franchise (commercial concession) agreement include?

The agreement provides for the transfer of a set of exclusive rights, along with business reputation and commercial experience of the right holder, for use in a specified scope. It may or may not define a specific territory and is generally associated with certain types of business activities:

  • Sale of goods (either supplied by the right holder or manufactured by the franchisee)
  • Service provision
  • Execution of works
  • Commercial operations
Who can be parties to a franchise (commercial concession) agreement?
The parties must be: Commercial legal entities, or Self-employed entrepreneurs (sole proprietors) officially registered under applicable Russian laws.
Is a sub-franchise agreement allowed?

Yes, the Commercial Concession Agreement may include the right for the franchisee (user) to grant sublicenses (sub-franchises) to third parties—either with the right holder’s prior written consent or as explicitly permitted in the agreement.

A sub-franchise agreement cannot exceed the duration of the original franchise agreement on which it is based.
